CTA Board of Directors Meeting

The board of directors mourned the loss of one of its board members, Alta Jacko.

Agenda Item #1: New Vision Council members and Staff
Options/Points Raised: The CTA Board of Directors unanimously affirmed to add the following individuals onto the Vision Council: Christa Kerber, Marian Fredal, Becky Schwantes-An, Lui Francesco, Kathy Schatzberg, and Amy Sheber Howard.
Jim introduced and the board welcomed Marci Madary, CTA’s new Director of Programs; Aaron Bianco, CTA’s new Program Outreach Associate, and John Canales Gorczynski, CTA’s new Conference Program Associate.

Agenda Item #2: Joint meeting of board/vision council and anti-racism team
Options/Points Raised: Discussion focused on the complexities of conducting organizational work through a lens of antiracism.

Agenda Item #4: Transition from Board of Directors to Vision Council
Based on the affirmation of the BOD at their February meeting, the Board will now be known in practice and throughout CTA as the Vision Council. This group now consists of: David Saavedra, Debra Brittenum, Marian Fredal, Delfin Bautista, Rosa Manriquez, Christa Kerber, Becky Schwantes-An, Lui Francesco, Caryl Callsen, Amy Sheber Howard and Kathy Schatzberg.

Agenda Item #5: Recording Secretary and Vision Council structure
Options/Points Raised: The Vision Council intends to operate with a "flat", consensus decision making structure as much as possible. However, to comply with the laws of the state of Illinois, Delfin Bautista was appointed recording secretary. The Vision Council discussed its intention to have different members perform different functions that are traditionally performed by officers in a hierarchical governance structure, such as signing grant applications. More discussion about how vision council leadership will be constructed will be determined at a vision council meeting in the near future.
Decision or Recommendations: Consensus reached for Delfin Bautista to serve as Recording Secretary
Agenda Item #6: Current By-laws revision
Options/Points Raised: A committee was formed to revise the Bylaws with immediate speed. This committee consists of Christa Kerber (animator of the committee), Tamar Yager, Fred Dabrowski and Debra Brittenum. Their deadline is the upcoming in-person Vision Council meeting.
The Vision Council intends to act with all immediate speed to put into practice the part of the Governance Plan that involves four at-large Vision Council reps being appointed to the Vision Council by all CTA members. Part of the By-laws Committee's task is to define "member" and after they report on their work, the Vision Council will set a deadline to have this process in place (the deadline will be set at the September/October meeting.)
Unanimously, this group did not want financial contribution to be a requirement for membership, but discussed various ways that members could be invited to contribute to CTA's mission or to affirm CTA's mission as a criterion for membership.
Decision or Recommendations: Committee formed and charged with recommendations by Sept/October Vision Council gathering
Agenda Item #7: 2016 Conference Location and Next in-person Vision Council meeting
Options/Points Raised: Amy Sheber Howard and Rosa Manriquez reported on their recent visit to Albuquerque and recommended that this city be the site of CTA’s 2016 national conference.
Decision or Recommendations: Recommendation affirmed Albuquerque and decided to hold its next in-person vision council gathering there. August/October dates were surfaced. Amy will check on Albuquerque’s availability.
